IMPORTANT NOTICE

Please carefully read these Terms of Use. By using CopyDraw, you agree to these terms and our arbitration provision for resolving disputes.

These terms constitute a binding agreement between you and NGSMedia LLC ("we," "us," or "our") governing your use of the CopyDraw mobile application and related services (the "App").

Your use of CopyDraw is also governed by our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, please do not use CopyDraw.

1. Changes to Terms

We may update these Terms at any time. When we make changes, the new Terms will be made available in the App. Your continued use of CopyDraw after changes take effect means you accept the new Terms.

2. App Content & License

NGSMedia LLC owns all rights to CopyDraw and its content (excluding user-created content). We grant you a limited, non-transferable license to:

  • Download and use CopyDraw on your personal devices
  • Create coloring pages for personal, non-commercial use
  • Print coloring pages for personal or family use

You may not modify, sell, distribute, or create derivative works from CopyDraw without our written permission.

3. User Content

"User Content" means any photos, images, or coloring pages you create using CopyDraw.

Your Rights:

  • You retain ownership of your original photos
  • Your content stays on your device unless you choose to share it
  • You control what you create and share

Your Responsibilities:

You represent that:

  • You own or have permission to use all photos you upload
  • Your content doesn't violate anyone's rights
  • Your content is appropriate for all ages

4. User Conduct

You agree NOT to:

  • ❌Upload inappropriate, offensive, or harmful content
  • ❌Violate any laws or others' rights
  • ❌Use the App for commercial purposes without permission
  • ❌Attempt to hack, modify, or reverse-engineer the App
  • ❌Share others' personal information

5. Purchases & Subscriptions

  • Subscriptions are processed through the Apple App Store or Google Play
  • Subscription terms and pricing are shown before purchase
  • You can cancel subscriptions through your device settings
  • Refunds are handled according to App Store policies

6. Third-Party Services

CopyDraw may link to third-party services (like the App Store). We are not responsible for these services. Please review their terms and privacy policies.

7. Disclaimers & Limitations

No Warranties:

CopyDraw is provided "as is" without warranties. We don't guarantee the App will always be available, error-free, or meet your specific needs.

Limitation of Liability:

To the maximum extent permitted by law, NGSMedia LLC will not be liable for any indirect, incidental, or consequential damages arising from your use of CopyDraw. Our total liability will not exceed the amount you paid us in the past 12 months.

8. Dispute Resolution

Arbitration Agreement:

Any disputes will be resolved through binding arbitration rather than court, except for small claims. This means:

  • Disputes are resolved individually, not as class actions
  • An arbitrator, not a judge or jury, will decide
  • Limited court review of arbitration decisions

How to Start Dispute Resolution:

First, contact us at support@gracespeak.com to try to resolve informally. If we can't resolve it within 60 days, either party may start arbitration through the American Arbitration Association (AAA).

9. General Terms

Children's Use:

CopyDraw is designed to be safe for children. Parents are responsible for their children's use of the App. We comply with COPPA and do not knowingly collect personal information from children under 13.

Governing Law:

These Terms are governed by Pennsylvania law, without regard to conflict of law principles.

Severability:

If any part of these Terms is found invalid, the rest remains in effect.

Entire Agreement:

These Terms and our Privacy Policy are the complete agreement between you and NGSMedia LLC regarding CopyDraw.
